These Terms of Service ("Terms") govern your access to and use of the FLUSH mobile application ("FLUSH" or the "App") operated by Verdix LLC ("Verdix," "we," "our," or "us"), a California limited liability company. By creating an account or using FLUSH, you agree to be bound by these Terms. If you do not agree, do not use the App.
FLUSH is a golf scorekeeper, game format calculator, AI coaching assistant, and group coordination tool. FLUSH is not a gambling platform, sportsbook, daily fantasy sports operator, or money transmission service.
FLUSH provides the following functionality:
Game format outcomes in FLUSH are displayed as "units." Units are abstract numerical representations of game results. They are not currency, tokens, credits, points redeemable for value, or any form of financial instrument. FLUSH does not assign monetary value to units, does not convert units to or from any currency, and does not facilitate the exchange of units for anything of value. The display of unit-based results is purely informational, equivalent to a scoreboard showing wins and losses.
FLUSH does not process payments, hold funds, maintain user wallets, provide escrow services, facilitate money transfers, or integrate with any payment processing system. There is no mechanism within the App to send, receive, deposit, or withdraw money. FLUSH has no payment infrastructure of any kind.
Verdix LLC does not facilitate, organize, promote, endorse, or encourage gambling of any kind. FLUSH calculates game format outcomes as a mathematical function of golf scores entered by users. Any arrangements users make outside the App based on game results are made entirely at the users' own discretion and sole responsibility. Verdix LLC has no knowledge of, involvement in, or liability for any such external arrangements. The relationship between FLUSH and any external user activity is no different from the relationship between a calculator and the decisions someone makes based on its output.
You must be at least 17 years of age to create an account or use FLUSH. By creating an account, you represent and warrant that you are at least 17 years old. FLUSH enforces age verification at account creation. We reserve the right to terminate any account if we determine the user is under 17. If you are between 17 and 18, you represent that your parent or legal guardian has reviewed and consents to these Terms.
To use FLUSH, you must create an account with a valid email address and display name. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You may not impersonate any person or use a name you are not authorized to use.
You may delete your account at any time by contacting privacy@getverdix.com. Upon deletion, your account information, scores, game results, and group memberships will be permanently removed in accordance with our Privacy Policy.
We reserve the right to suspend or terminate your account, without prior notice, if we reasonably believe you have violated these Terms, used the App for any unlawful purpose, or engaged in conduct that harms other users or Verdix. We may also terminate inactive accounts after 12 months of no activity, with 30 days' email notice before deletion.
You agree not to use FLUSH to:
Violation of this Section may result in immediate account termination and, where applicable, referral to law enforcement.
FLUSH, including all software, algorithms, designs, user interfaces, graphics, text, data compilations, the Condor AI engine, The Docket game format encyclopedia, Flush Score, Flush Index, and all related intellectual property, is owned by Verdix LLC and protected by United States and international copyright, trademark, patent, and trade secret laws. "FLUSH," "Verdix," "Condor," "Flush Score," "Flush Index," "The Docket," and "DivotIQ" are trademarks of Verdix LLC. You may not use our trademarks without our prior written consent.
You retain ownership of the golf scores, personal statistics, and other factual data you enter into FLUSH. These Terms do not transfer ownership of your personal data to Verdix.
By posting content within FLUSH (including but not limited to display names, group names, comments, and shared game results), you grant Verdix a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, display, reproduce, and distribute that content solely within the App and in connection with providing the FLUSH service. This license exists only for the purpose of operating and improving the App and terminates when you delete your account, except for content that has been shared with other users within groups (which may persist in those users' group histories).
If you provide suggestions, ideas, or feedback about FLUSH, you grant Verdix an unrestricted, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
FLUSH includes AI-powered features through our Condor coaching engine and scorecard OCR processing. You acknowledge that:
You are solely responsible for your own conduct and any consequences thereof while using FLUSH. You are solely responsible for any arrangements, agreements, or transactions you enter into with other users or third parties outside of the App. Verdix has no role in, knowledge of, or liability for any such external activity.
You acknowledge that FLUSH displays game format results as informational calculations. What you do with that information outside the App is your decision and your responsibility. Verdix does not monitor, endorse, or bear any responsibility for activities occurring outside the App.
FLUSH IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. VERDIX EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VERDIX DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. VERDIX DOES NOT WARRANT THE ACCURACY OF GPS YARDAGES, AI-GENERATED ADVICE, OCR-EXTRACTED SCORES, OR ANY OTHER DATA PRESENTED IN THE APP.
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by applicable law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERDIX LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE FLUSH, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF VERDIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
VERDIX'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF FLUSH SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VERDIX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
WITHOUT LIMITING THE FOREGOING, VERDIX IS NOT LIABLE FOR ANY DISPUTES, DISAGREEMENTS, CONFLICTS, OR CLAIMS BETWEEN USERS ARISING FROM GAME FORMAT RESULTS, UNIT CALCULATIONS, SCORES, OR ANY EXTERNAL ARRANGEMENTS MADE BETWEEN USERS. VERDIX IS NOT A PARTY TO ANY AGREEMENT BETWEEN USERS.
You agree to indemnify, defend, and hold harmless Verdix LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of FLUSH; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any content you submit through the App; (e) any arrangements, agreements, or transactions you enter into with other users or third parties; or (f) any claim that your use of FLUSH caused damage to a third party. This indemnification obligation survives termination of your account and these Terms.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Before initiating any formal dispute resolution proceeding, you agree to first contact Verdix at legal@getverdix.com and attempt to resolve the dispute informally for at least 30 days.
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of FLUSH (collectively, "Disputes") shall be resolved exclusively through final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, except as otherwise provided herein. The arbitration shall be conducted by a single arbitrator, in Los Angeles County, California, or at another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
YOU AND VERDIX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the dispute shall proceed in court.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Claims within the jurisdiction of small claims court may also be brought in small claims court in lieu of arbitration.
You may opt out of this arbitration provision by sending written notice to legal@getverdix.com within 30 days of first creating your FLUSH account. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Los Angeles County, California.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. To the extent that litigation is permitted under Section 11, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California.
Verdix reserves the right to modify these Terms at any time. If we make material changes, we will notify you by posting the revised Terms within the App and updating the "Last Updated" date. For material changes, we will provide at least 30 days' notice before the changes take effect. Your continued use of FLUSH after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the App and delete your account.
Verdix reserves the right to modify, suspend, or discontinue FLUSH (or any part thereof) at any time, with or without notice. We will make reasonable efforts to notify users of significant changes. Verdix shall not be liable to you or any third party for any modification, suspension, or discontinuation of the App.
FLUSH may contain links to or integrations with third-party services (e.g., course booking platforms). Verdix does not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is governed by their respective terms and privacy policies. Verdix is not liable for any harm arising from your use of third-party services accessed through FLUSH.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect. The invalidity of any provision in a particular jurisdiction shall not invalidate that provision in any other jurisdiction.
No failure or delay by Verdix in exercising any right under these Terms shall constitute a waiver of that right. A waiver of any right on one occasion shall not be deemed a waiver of that right on any subsequent occasion.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Verdix LLC with respect to your use of FLUSH and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Verdix regarding the App. No amendment to these Terms shall be effective unless made in accordance with Section 13.
You may not assign or transfer these Terms or your rights hereunder without Verdix's prior written consent. Verdix may assign these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and assigns.
Verdix shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, or third-party service provider outages.
